Every transfer references the ESIGN Act (US), with cross-border equivalence for EU and LATAM common-law jurisdictions. PxNDA auto-selects the applicable template based on both parties' residence. Always review with qualified counsel before binding use.

Cryptographic receipt, every time.

A SHA-256 fingerprint is locked in with an independent RFC 3161 timestamp — on every seal and every signature. The record stays archived for compliance.

Files protected, records preserved.

Files are encrypted in transit (TLS 1.3) and at rest. After the signing window closes, the file is removed. The signed agreement and metadata stay archived for 7 years on Pro.

05 · Verifiable

Independent of us.

PxNDA doesn't ask you to trust it. The proof rests on math (SHA-256) and an independent time authority (FreeTSA). Anyone can verify, with no account.

Common questions.

Why is access invite-only?

The product is fully functional, but legal review in some jurisdictions is still in progress. Until we complete that review, we limit weekly onboarding so every transfer issued is properly documented. The waitlist gives us a controlled rollout.

How does the waitlist work?

We review submissions in waves and prioritize use cases close to our legal-cleared coverage (DR, US, EU). Onboarding cadence varies — we send invites as our coverage expands.

Is the NDA legally binding?

The NDAs PxNDA generates are based on industry-standard mutual NDA templates and reference the ESIGN Act (United States), with cross-border equivalence for EU and LATAM common-law jurisdictions. PxNDA is a tool, not a law firm — review with qualified counsel before binding use.

Does the recipient need an account?

No. They get a single-use link, review the NDA in their browser, sign, and download. We never ask them to register.

What happens to my files?

Files are encrypted in transit (TLS 1.3) and at rest, and held only for the signing window. After the recipient downloads (or the window expires), the file is removed. The signed agreement and metadata stay archived for compliance — never the file itself.

How do I get my invite faster?

If your use case is time-sensitive (M&A, urgent client work), mention it when you sign up. Existing users can also share their personal invite codes with collaborators.

When do I Seal vs Send?

Seal when you just need to prove a work is yours, intact, on a date — no recipient involved (pitches, drafts, designs, scripts). Send when you're handing a file to someone and want a signed agreement (and optional NDA) before they open it. Same engine, same verifiable record — one is solo, one is an exchange.

How is PxNDA different from using DocuSign + Dropbox?

Those are three separate tools for three separate steps — sign here, store there, send somewhere else. PxNDA collapses the whole exchange into one signed act: the agreement and the file are sealed together, and both parties keep one cryptographic, timestamped record. One step, one proof — not three accounts.

What is PxNDA?
PxNDA is an evidence layer for sharing. Two modes over one engine: seal your own work on its own to prove you had it — intact, on a date, no recipient needed — or send a file with a signed agreement (and an optional NDA) so it only opens after the other party countersigns. Either way, the act and the file's SHA-256 fingerprint are sealed with an independent RFC 3161 timestamp, and anyone can verify the record — independent of us.
Why seal my work?
Because "I had this first" is hard to prove after the fact. Sealing creates a timestamped, tamper-evident record that this exact file existed, intact, on this date — verifiable by anyone, independent of us. Useful before you pitch an idea, share a draft, send a portfolio, or publish: if a dispute ever comes up, you hold evidence of priority and integrity. It doesn't grant ownership or copyright — those come from law and authorship — it proves the timeline.
Is the NDA legally binding?
A non-disclosure agreement (NDA) is a contract in which the parties agree to keep shared information confidential. On PxNDA the recipient signs it electronically before accessing your file, and both sides receive a countersigned PDF as evidence of execution. Electronic signatures are recognized under the ESIGN Act and UETA (United States), among other jurisdictions. PxNDA is not a law firm — review with qualified counsel before binding use.
What's SHA-256, RFC 3161 timestamp, AES-256, ESIGN Act · UETA?
These are the building blocks behind every PxNDA record:

SHA-256 — a cryptographic fingerprint of your file. Changing even a single byte produces a completely different hash, so any tampering is detectable.

RFC 3161 timestamp — an independent, trusted time seal (from FreeTSA) proving the document existed at a specific moment, sealed by a third party rather than by us.

AES-256 — bank-grade encryption protecting your files in transit and at rest.

ESIGN Act · UETA — the US federal and state laws that give electronic signatures the same legal standing as ink-on-paper.
Can the recipient see my files before signing?
No. The files stay locked until the recipient signs the NDA — no preview, no thumbnail, no metadata leakage. Agreement and access happen at the same moment.
Does the recipient need an account?
No. Recipients open the link, review the NDA, sign, and download — no account required. Only the sender needs an account.

PxNDA was born inside a Caribbean media lab to fix one specific frustration: every time we shared a script, term sheet, or unreleased master, the receiving party promised confidentiality in chat — and that was it.

Our story

From in-house tool to public infrastructure.

We sent the first protected file to a session musician in 2024. The flow worked: sign the NDA, then the file unlocks. We kept building. Today, PxNDA is used by independent labels, investors, agencies, and legal teams across the Dominican Republic, the US, and Spain.

We're not a law firm. We're not pretending to replace one. We're an infrastructure layer — file transfer with a signed receipt — that gives small teams the same legal posture big companies get from an enterprise contract-and-storage stack. Cheaper, faster, no integrations.

What happens when my files expire?
Free transfers expire after 5 days. The files are permanently deleted from our servers, but the signed agreement PDF remains archived for compliance. Pro users have unlimited retention.
